Program Overview and Acceptance
These PassPrep Ambassador Program Terms (the “Terms”) govern participation in the PassPrep Ambassador Program (the “Program”) offered by PassPrep, Inc., a New York corporation (“PassPrep,” “we,” “us,” or “our”). An “Ambassador” is an applicant whom PassPrep has approved for the Program. “You” and “your” refer to the applicant or Ambassador. These Terms, together with any program guidelines, brand guidelines, or other written instructions PassPrep provides to Ambassadors (the “Program Guidelines”), are a binding agreement between you and PassPrep.
By submitting an application, checking the acceptance box, or otherwise affirmatively accepting these Terms, you agree to be bound by them, and you agree to follow them if approved. Applying does not guarantee acceptance. Your participation is also subject to the PassPrep Terms of Service and Privacy Policy, which are incorporated by reference; these Terms govern if there is a conflict specifically about the Program. If you do not agree to these Terms, do not apply for or participate in the Program.
The Program allows approved Ambassadors to share the PassPrep NCLEX-RN preparation platform, the free NCLEX Readiness Check, and other approved materials. Referred customers may receive special first-purchase pricing, and Ambassadors may earn commissions on eligible first paid purchases attributed to them, all as described in these Terms.
Eligibility, Application, and Account
- Applicants must be at least 18 years old, must reside in the United States (unless PassPrep approves otherwise in writing), and must provide accurate, current, and complete application information and keep it updated.
- Applicants must sign in or create a PassPrep account. If approved, the Ambassador role, complimentary-access benefit, and referral dashboard are associated with that same account. Each person may hold only one Ambassador account. Ambassador accounts are personal and may not be shared, sold, or transferred.
- PassPrep reviews applications in its sole discretion and may decline any application, request additional information, or set additional eligibility criteria, without giving a reason.
- Ambassadors must keep account credentials secure, are responsible for all activity under their account, and must promptly notify PassPrep at support@passprep.com of suspected account misuse.
- By applying, you represent that your participation will not violate any law, any policy of your school, clinical site, or employer, or any other agreement that binds you. You must tell PassPrep if you promote or are compensated by a competing NCLEX preparation product, and PassPrep may decline or end participation on that basis. PassPrep employees, contractors, and their immediate family members are not eligible unless PassPrep approves otherwise in writing.
Complimentary Access and Free Renewals
Upon approval, the Ambassador receives 30 days of complimentary PassPrep study access for the Ambassador’s own personal, non-commercial use. It ends at the scheduled expiration date unless a renewal is earned under this section. There is no maximum number of earned 30-day renewals while an Ambassador remains eligible and in good standing. Complimentary access has no cash value, may not be transferred, shared, or resold, and may be modified or withdrawn by PassPrep as described in Sections 11 and 12.
To earn each additional 30 days of complimentary access, the Ambassador must submit two qualifying original social media posts or videos for PassPrep review through the Ambassador dashboard during the current 30-day access period, and PassPrep must approve both. Original feed posts qualify; videos are optional. Posts may be on TikTok, Instagram, or another social platform approved by PassPrep. PassPrep will use reasonable efforts to review submitted posts within ten business days after submission.
- A qualifying post must be original, publicly viewable where required for review, genuinely promote or discuss PassPrep based on the Ambassador’s actual use of the platform, comply with these Terms and the Program Guidelines, and include a clear and conspicuous ambassador disclosure as described in Section 8. Reposts, duplicates, or a post submitted for an earlier renewal do not count again. A qualifying post must remain publicly available for at least 30 days after approval.
- After two posts for the current period are approved, the Ambassador earns another 30 days added to the current access expiration date. A submitted but unapproved post does not count toward renewal. Approval is based on compliance with these Terms and the Program Guidelines, not on whether a post is favorable; posts must reflect the Ambassador’s honest opinions and experience. PassPrep’s approval decisions are final.
- If complimentary access expires, the Ambassador may later submit two new qualifying posts. Once the second new post is approved, complimentary access restarts for 30 days beginning on that approval date.
- An Ambassador may continue referring students and using their referral dashboard even when complimentary study access has expired, unless participation has been suspended or terminated.
No minimum sales quota applies, and videos are not required. Classmate referrals and permitted campus activities may generate eligible commissions, but they do not replace the two approved original social posts required to renew complimentary access.
Referral Tools, Attribution, and Restrictions
Each approved Ambassador receives one or more personal referral tools, which may include a referral link, a discount code, and a QR code (together, the “Referral Tools”). PassPrep determines which Referral Tools are offered at any given time; the referral link is the primary Referral Tool. Referral Tools are for the Ambassador’s own promotional use under these Terms and may not be sold, transferred, or shared with other promoters. PassPrep may determine and change the landing destination of the referral link without changing the link itself, and may add, replace, or deactivate Referral Tools at any time.
- A referral made through an Ambassador link is remembered for 30 days after the visitor’s most recent visit through that link.
- If a customer visits links from different Ambassadors, the most recent Ambassador link controls. Where PassPrep offers discount codes, a valid Ambassador discount code entered at checkout takes priority over any link.
- A direct return visit without another Ambassador link does not by itself erase an unexpired referral attribution.
- Attribution may be connected to a PassPrep account using supported app links, account information, or matching email information supplied during the Readiness Check. Cross-device and iOS/Android attribution may not always be possible. Where offered, the customer may enter the Ambassador code manually.
- Ambassadors may not use their own or another Ambassador’s discount code, and may not generate or attempt to generate commissions through self-referrals, purchases by household members, duplicate accounts, fabricated purchases, bots, incentivized or rebated purchases, manipulation, or other deceptive activity.
- Ambassadors also may not: (a) post Referral Tools on coupon, deal, or discount-code websites or forums, or in paid advertising of any kind; (b) bid on or use “PassPrep,” “NCLEX,” or confusingly similar terms as keywords in paid search or app-store advertising; (c) register or use any domain name, social media handle, page, or business name that contains “PassPrep” or a confusingly similar term; (d) use cookie-stuffing, forced clicks, redirects, iframes, browser extensions, or similar techniques; (e) send unsolicited bulk email, text messages, or direct messages; or (f) misrepresent the discount, pricing, or Program.
Sales and commissions are determined from PassPrep’s verified transaction records and the attribution rules in these Terms, which PassPrep may update prospectively. PassPrep’s records are final and binding absent manifest error. Website visits, analytics funnels, and estimated traffic figures do not establish commission eligibility. PassPrep may withhold, reverse, or forfeit commissions and other benefits obtained through any violation of this Section 4.
Student Ambassador Pricing
Customers attributed to an eligible Ambassador can receive ambassador pricing on their first qualifying paid PassPrep purchase only. Ambassador pricing is available only to new customers who have not previously purchased PassPrep access. The current ambassador pricing is:
| Plan | Regular | Ambassador price | Student saves |
|---|---|---|---|
| 30-Day Access | $59 | $50 | $9 |
| 60-Day Access | $89 | $75 | $14 |
| 90-Day Access | $119 | $100 | $19 |
These are the purchase prices, not fees paid to the Ambassador. The referred customer receives the savings; the Ambassador may separately earn a commission. The ambassador discount cannot be combined with another promotional offer. Ambassador pricing is available only on purchases made through the PassPrep website at passprep.com; it is not available for purchases made through the Apple App Store or Google Play in-app checkout. PassPrep may add or change the eligible purchase channels prospectively. Any later purchases are at the then-current regular price. PassPrep may change prices, plans, discount amounts, or plan availability at any time, prospectively, by updating these Terms or the Program Guidelines. Ambassadors must describe the discount accurately, must direct customers to passprep.com for ambassador pricing, and must not advertise pricing other than the current published ambassador pricing.
Commission Eligibility and Calculation
An Ambassador earns a commission equal to 15% of the Net Revenue PassPrep actually receives from each referred customer’s first eligible paid purchase, provided the purchase is properly attributed to that Ambassador under Section 4, the customer is a new customer, and the purchase is not refunded, reversed, charged back, or determined by PassPrep to be invalid or made in violation of these Terms.
Commissions are available only on purchases made through purchase channels that PassPrep can attribute to an Ambassador. PassPrep identifies the supported channels in the Program Guidelines and may update them prospectively. A purchase made through a channel that does not support attribution does not earn a commission, even if the customer was referred by an Ambassador.
For this Program, “Net Revenue” means the amount actually received by PassPrep for the qualifying purchase after the customer discount, excluding sales, value-added, or similar taxes, refunds, reversals, chargebacks, and applicable Apple, Google, Stripe, PayPal, or other payment-platform transaction fees.
Illustration only: a $50 qualifying purchase on passprep.com less approximately $1.75 in payment-processing fees leaves approximately $48.25 in Net Revenue. Fifteen percent of $48.25 equals a $7.24 Ambassador commission, after rounding to the nearest cent. Actual commissions vary with the real fees, the purchase channel, and the transaction details.
- Commissions apply only to the first eligible paid purchase per referred customer; later purchases do not earn additional commissions under this Program.
- Free Readiness Check completions, application approvals, free trials, and complimentary Ambassador access do not themselves generate commissions.
- There is no guaranteed commission amount, referral volume, sales minimum, or income. Commissions are the only compensation for Program participation, other than complimentary access under Section 3 and any Discretionary Rewards under Section 13. PassPrep may change the commission rate or structure prospectively by updating these Terms; the rate in effect on the date of a qualifying purchase applies to that purchase.
Verification, Payouts, and Refunds
Commissions remain pending for at least 30 days after the qualifying purchase (the “Verification Period”). Validated commissions become eligible for payout after the Verification Period, subject to these Terms. PassPrep may extend the Verification Period for a particular transaction or Ambassador while it investigates suspected fraud, abuse, or a violation of these Terms.
- PassPrep processes eligible commission payments on a monthly schedule, in U.S. dollars, using PayPal as the primary payout method. PassPrep may offer or require a different payout method. The Ambassador is responsible for any fees charged by PayPal or the Ambassador’s financial institution and for maintaining a PayPal account in good standing that can receive payments.
- The minimum payout is $25 in eligible, unpaid commissions. Smaller balances roll forward until the threshold is reached. The minimum does not apply to a final payout after participation ends.
- Ambassadors must provide an accurate PayPal email, a completed IRS Form W-9 (or other tax form PassPrep requests), and any other information reasonably required to process payments. PassPrep may hold payments until this information is received and may withhold amounts required by law. Incomplete payment or tax information may delay payment.
- If a purchase is refunded, reversed, or charged back before payout, its commission is reduced or canceled. If the commission was already paid, the corresponding amount will be deducted from a later payout, with the adjustment reflected in the payment history, or, if no later payout is made, PassPrep may request repayment.
- The dashboard will show commission status and recorded payment details. If you believe a confirmed sale or payout is incorrect, contact support@passprep.com within 60 days after the end of the month in which the sale or payout was recorded so the transaction can be reviewed. Commission records not disputed within that period are deemed accepted.
When participation ends for any reason other than termination for cause under Section 11, legitimately earned and validated unpaid commissions remain eligible for payout under the normal verification and payout rules, subject to refunds and any fraud-related review. Commissions are forfeited if participation is terminated for fraud, abuse, deceptive promotion, or a material violation of Section 4 or Section 8. To the extent permitted by law, commissions that cannot be paid within 12 months after they become eligible because the Ambassador has not provided required payment or tax information are also forfeited.
Permitted Promotions and Required Disclosures
Ambassadors may share the full PassPrep platform, the free NCLEX Readiness Check, approved study materials, and their personal Referral Tools through permitted social media, study groups, or campus activities, in each case in compliance with these Terms, the Program Guidelines, applicable law, and platform rules.
- Promotions must be honest, accurate, and based on the Ambassador’s genuine, current experience as a PassPrep user. Ambassadors must not make any claim about PassPrep that is not truthful and substantiated or that PassPrep has not approved in writing, including claims about pass rates, scores, outcomes, or comparisons to competitors. Ambassadors must not promise or suggest that PassPrep guarantees passing the NCLEX-RN, and must not state or imply any endorsement by, or affiliation with, the National Council of State Boards of Nursing (NCSBN), any nursing program, hospital, or clinical site, or any other third party. NCLEX® is a registered trademark of NCSBN, which is not affiliated with and does not endorse PassPrep; Ambassadors may refer to the NCLEX only to describe the examination.
- Whenever endorsing, recommending, or sharing Referral Tools for PassPrep, Ambassadors must clearly and conspicuously disclose their material connection to PassPrep, including that they receive free PassPrep access and may earn a commission. Place the disclosure with the endorsement itself, where viewers will see it before they decide to click or buy, not only in a profile or hidden after a “more” link. In videos and live streams, make the disclosure both verbally and in on-screen text or the caption. Repeat the disclosure in each story, post, or message that includes a Referral Tool. “#ad” or “#sponsored” at the start of a caption is acceptable; vague tags such as “#sp,” “#collab,” or “#ambassador” alone are not.
- Ambassadors must comply with all applicable laws and regulations, including the FTC Act, the FTC’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255), the FTC’s Rule on the Use of Consumer Reviews and Testimonials (16 C.F.R. Part 465), the CAN-SPAM Act, the Telephone Consumer Protection Act, and state consumer-protection and privacy laws, as well as platform advertising and branded-content policies and school, clinical-site, and campus rules. The following are prohibited: spam, mass unsolicited messages, fake or undisclosed reviews, purchased or artificial engagement, misleading claims, impersonation, and any content that is unlawful, defamatory, harassing, obscene, or discriminatory.
- Ambassadors must not post, or ask others to post, reviews or ratings of PassPrep on the Apple App Store, Google Play, or any review website unless the review clearly discloses the Ambassador relationship. Ambassadors must not offer anything of value to anyone in exchange for a review, and must never condition any benefit on a positive review. PassPrep does not condition any Program benefit on favorable sentiment.
- Ambassadors must not create or share content that shows patients, protected health information, clinical records, or restricted areas of any clinical site, and must comply with HIPAA and the policies of their nursing program and clinical placements. PassPrep promotions are not appropriate in clinical settings.
- Ambassadors must not reproduce, record, screenshot, or share PassPrep practice questions, answer explanations, rationales, or other study content, other than excerpts or demonstrations PassPrep expressly approves in the Program Guidelines.
Suggested disclosure: “I’m a PassPrep ambassador. I get free access and may earn a commission if you buy through my link.” Use a platform’s paid-partnership or branded-content tool where it is available, but that tool alone may not satisfy every disclosure obligation.
A separate written agreement is required for any paid video, guaranteed flat-fee deliverable, or paid-advertising arrangement. Regular Ambassador participation does not itself entitle an Ambassador to a separate payment for posts, and nothing in these Terms obligates PassPrep to offer any paid opportunity. PassPrep may require an Ambassador to correct, update, or remove any post or other content within 48 hours after PassPrep requests it, and PassPrep may itself report or seek removal of non-compliant content.
Brand Materials and Content Rights
PassPrep grants active Ambassadors a limited, revocable, nonexclusive, non-transferable, royalty-free permission to use the approved PassPrep name, logos, referral links, and promotional assets (the “Brand Materials”) only to promote the Program in compliance with these Terms and the Program Guidelines. PassPrep and its licensor own all rights in the PassPrep name and marks, the Brand Materials, the PassPrep platform, and all study content, and all goodwill from an Ambassador’s use of the marks inures to their owner. Ambassadors must not alter Brand Materials, combine them with other marks, use them in a misleading way, or claim to represent PassPrep as employees or authorized spokespersons. Ambassadors must not register, apply to register, or use any trademark, domain name, social media handle, or business name containing “PassPrep” or anything confusingly similar. This permission ends automatically when participation ends.
Ambassadors retain ownership of their original posts and other content created for the Program (“Ambassador Content”). By submitting Ambassador Content for review, or by tagging or mentioning PassPrep in it, you grant PassPrep a nonexclusive, worldwide, royalty-free license to display, reproduce, repost, and share that Ambassador Content, together with your name, username, and likeness as they appear in it, on PassPrep’s own website, app-store listings, social media accounts, and email, with attribution where practical. Use in paid advertising, licensing to third parties, or separately commissioned creator campaigns requires a separate written agreement. You may ask PassPrep to remove a specific item of Ambassador Content from its channels by emailing support@passprep.com, and PassPrep will do so within a reasonable time. You represent that you own or have all rights needed to grant this license.
Ambassadors must respect others’ intellectual-property, privacy, and publicity rights and must have all necessary permissions to use any content, music, photos, names, likenesses, or testimonials they publish. PassPrep may use any suggestions or feedback you give about the Program or the platform without obligation to you.
Taxes, Information, and Privacy
Ambassadors are responsible for their own tax obligations arising from commissions, complimentary access, Discretionary Rewards, and other compensation. PassPrep or its payment providers may require tax information (such as IRS Form W-9) before making payments and may issue tax reporting (such as Form 1099) when required by applicable law. PassPrep may maintain a “tax form on file” status without collecting tax identification numbers through the public application form, and may withhold payment until required tax information is received.
We process applications, account details, referrals, transaction information, and payout records to operate the Program, as described in the PassPrep Privacy Policy at https://passprep.com/privacy. Sensitive tax documents, if needed, should be collected through a secure method designated by PassPrep rather than sent by ordinary email. Ambassadors must not collect, store, or share personal information about referred or prospective customers except as necessary to share Referral Tools, and must comply with applicable privacy laws when doing so.
Inactivity, Suspension, and Termination
An Ambassador whose complimentary access expires does not automatically lose their referral dashboard or payment history. Complimentary access and ongoing Ambassador status are separate from commission eligibility.
PassPrep may review, reject, or remove promotional activity that fails to qualify. PassPrep may suspend or terminate an Ambassador’s participation at any time, with or without notice, for fraud, abuse, misleading or non-compliant promotion, serious or repeated failure to follow these Terms or the Program Guidelines, conduct that PassPrep reasonably believes may harm its reputation or the Program, or other legitimate Program-integrity reasons (each, “cause”). Where PassPrep considers it appropriate, PassPrep may notify the Ambassador and allow a reasonable opportunity to correct an issue, but it is not required to do so. Either party may also end participation at any time, for any reason or no reason, by notice to the other; Ambassadors may do so by emailing support@passprep.com.
Following termination for any reason, Ambassador privileges, complimentary access, and permission to use the Brand Materials end immediately. The Ambassador must stop presenting themselves as a PassPrep Ambassador, stop distributing Referral Tools, and, within ten days after PassPrep’s request, remove or update any content that PassPrep identifies as non-compliant or as continuing to offer the Program. Commissions earned before termination are handled under Section 7. PassPrep may discontinue or modify the Program at any time, with reasonable advance notice where practicable. Section 4 (restrictions), Sections 6 and 7 (as to earned commissions), Sections 9 and 10, and Sections 13 through 18 survive termination.
Updates to These Terms
PassPrep may revise these Terms and the Program Guidelines from time to time. PassPrep will post the updated version on its website or Ambassador dashboard and will notify Ambassadors of material changes by email or dashboard notice; material changes may also require renewed electronic acceptance. Changes take effect on the stated effective date and apply prospectively. Continued participation after that date, including continued use of Referral Tools or complimentary access, means you accept the updated Terms. The application system records the version and acceptance date/time for each applicant, and the version in force for a given period governs participation during that period. If you do not agree to a change, your only remedy is to leave the Program under Section 11.
Discretionary Rewards and Separate Paid Opportunities
PassPrep may, from time to time, recognize Ambassadors with discretionary bonuses or rewards, such as gift cards, merchandise, or other items (“Discretionary Rewards”). Discretionary Rewards are awarded, if at all, solely in PassPrep’s discretion based on criteria PassPrep selects. They are not earned compensation, are not guaranteed, and may be changed or discontinued at any time. No Ambassador has a right to any Discretionary Reward, and PassPrep’s decision not to award one, or to award one to some Ambassadors and not others, is not a breach of these Terms.
Discretionary Rewards have no cash value unless PassPrep states otherwise, may not be transferred or exchanged, are subject to availability and substitution, and may be reportable as taxable income to the Ambassador. Discretionary Rewards are never selected by chance; any promotion involving a random drawing will be governed by separate official rules.
PassPrep may offer selected Ambassadors separate paid promotional opportunities. Any such opportunity will be governed by a separate written agreement, which controls over these Terms for that engagement. These Terms do not obligate PassPrep to offer any paid opportunity to any Ambassador, and the disclosure requirements in Section 8 apply to every paid engagement.
Independent Relationship and Confidentiality
Participation does not create an employment, franchise, agency, partnership, or joint-venture relationship with PassPrep. Ambassadors are independent participants, are responsible for their own expenses, equipment, and taxes, are not entitled to employee benefits, and may not enter contracts or make commitments on behalf of PassPrep. Ambassadors decide whether, when, and how to promote PassPrep, subject only to the content and compliance rules in these Terms.
Ambassadors must keep confidential any non-public information PassPrep shares with them, including unreleased features, pricing plans, performance data, and dashboard information about other Ambassadors or customers, and may use it only to participate in the Program. This obligation does not restrict an Ambassador from giving honest reviews or opinions about PassPrep, from making disclosures required by law, or from discussing their own compensation.
Disclaimers and Limitation of Liability
THE PROGRAM, THE REFERRAL TOOLS, THE AMBASSADOR DASHBOARD, AND ALL TRACKING AND ATTRIBUTION FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, PASSPREP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PASSPREP DOES NOT WARRANT THAT TRACKING WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY REFERRAL WILL BE ATTRIBUTED, OR THAT THE PROGRAM WILL PRODUCE ANY LEVEL OF REFERRALS, COMMISSIONS, OR INCOME.
TO THE FULLEST EXTENT PERMITTED BY LAW, PASSPREP AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PASSPREP’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE VALIDATED COMMISSIONS PAYABLE TO THE AMBASSADOR IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, PASSPREP’S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
Indemnification
You agree to defend, indemnify, and hold harmless PassPrep, its licensor, and their officers, directors, shareholders, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your Ambassador Content or other promotional activity; (b) your violation of these Terms, the Program Guidelines, or any law, regulation, or platform policy, including the FTC endorsement and consumer-review rules; (c) any claim that your content or conduct infringes or misappropriates a third party’s intellectual-property, privacy, publicity, or other rights; or (d) any claim or statement you make about PassPrep that PassPrep did not authorize. PassPrep may control the defense of any matter subject to indemnification, and you agree to cooperate reasonably.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and by applicable federal law. Any dispute arising out of or relating to these Terms or the Program will be brought exclusively in the state or federal courts located in Westchester County, New York, and each party consents to personal jurisdiction and venue there. Either party may instead bring an individual claim that qualifies in small-claims court in the Ambassador’s county of residence, and PassPrep may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or to stop non-compliant promotion.
TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND AGREES THAT ANY CLAIM MAY BE BROUGHT ONLY IN THAT PARTY’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. To the extent permitted by law, any claim arising out of or relating to these Terms or the Program must be brought within one year after it accrues or it is permanently barred. Before filing any claim, the party raising it will give the other written notice describing the dispute and allow 30 days to resolve it informally.
General Terms and Contact
These Terms, the Program Guidelines, and the PassPrep Terms of Service and Privacy Policy are the entire agreement between you and PassPrep about the Program and supersede any prior discussions, marketing descriptions, or informal communications. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect. PassPrep’s failure to enforce a provision is not a waiver. You may not assign or transfer your participation or any rights under these Terms; PassPrep may assign these Terms to an affiliate or to a successor to its business. There are no third-party beneficiaries other than PassPrep’s licensor and the indemnified parties in Section 16. PassPrep is not liable for delays or failures caused by events beyond its reasonable control, including platform outages or payment-provider failures.
You consent to receive Program communications, including notices under these Terms, electronically at the email address on your account. Notices to PassPrep must be sent to support@passprep.com. Section headings are for convenience only, and “including” means “including without limitation.”
Questions about eligibility, referral attribution, payment records, or these Terms can be sent to support@passprep.com. These Terms should be read together with the PassPrep Terms of Service at https://passprep.com/terms and the Privacy Policy at https://passprep.com/privacy.
